1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Sumosoft Inc., doing business as Kazokus ("we," "us," or "our"), governing your access to and use of the Kazokus platform and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on the Service. Your continued use of the Service following any changes constitutes acceptance of those changes.

2. Description of Service

Kazokus is a multi-tenant community management platform that enables users to create, manage, and participate in online communities. Our Service includes, but is not limited to:

  • Community creation and management tools
  • Discussion forums and chat functionality
  • Event planning and ticketing
  • Member marketplace features
  • Membership tiers and subscriptions
  • Content publishing and sharing
  • Conversations and group messaging

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

3.2 Eligibility

You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms, without prior notice or liability.

4. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Violating any applicable laws, regulations, or third-party rights
  • Posting or transmitting harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content
  • Impersonating any person or entity, or falsely representing your affiliation with any person or entity
  • Interfering with or disrupting the Service or servers connected to the Service
  • Sending spam, chain letters, or other unsolicited communications
  • Harvesting or collecting user information without consent
  • Using automated means to access the Service without our permission
  • Attempting to gain unauthorized access to any portion of the Service
  • Transmitting any viruses, worms, or other malicious code
  • Taking any action that imposes an unreasonable load on our infrastructure
  • Circumventing any access controls or usage limits
  • Engaging in any illegal activities through the Service
  • Engaging in fraudulent transactions or misrepresenting products/services

5. User Content

5.1 Ownership

You retain ownership of any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, distribute, and display your User Content in connection with operating and providing the Service.

5.2 Responsibility

You are solely responsible for your User Content and the consequences of posting it. You represent and warrant that:

  • You own or have the necessary rights to post your User Content
  • Your User Content does not violate any third-party rights, including intellectual property rights
  • Your User Content complies with these Terms and all applicable laws

5.3 Content Monitoring

We do not pre-screen User Content but reserve the right to remove or disable access to any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.

6. Third-Party Content

The Service may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by your use of or reliance on any third-party content, goods, or services.

7. Payments and Fees

7.1 Subscription Fees

Certain features of the Service may require payment of subscription fees. You agree to pay all fees and charges associated with your account on a timely basis. All fees are non-refundable except as expressly stated otherwise.

7.2 Transaction Revenue

Community administrators may collect payments for memberships, events, and marketplace transactions through the Service. We do not take a percentage of your revenue—you keep 100% of what you earn (subject to payment processing fees charged by our payment processor).

7.3 Payment Processing

All payments are processed through our third-party payment processor, Stripe. By making a payment, you agree to Stripe's terms of service. We are not responsible for any errors or issues arising from payment processing.

7.4 Taxes

You are responsible for all applicable taxes associated with your use of the Service. Community administrators are responsible for collecting and remitting any applicable taxes on transactions conducted through their communities.

8. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Sumosoft Inc. and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

9. Copyright Infringement (DMCA)

We respect the intellectual property rights of others. If you believe that any User Content on the Service infringes your copyright, please submit a notice containing the following information:

  • A physical or electronic signature of the copyright owner or authorized agent
  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the infringing material and its location on the Service
  • Your contact information (address, telephone number, email)
  • A statement that you have a good faith belief that the use is not authorized
  • A statement, made under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner

10. DISCLAIMERS

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • That the Service will be uninterrupted, timely, secure, or error-free
  • That the information provided through the Service will be accurate, reliable, or complete
  • That any defects or errors will be corrected
  • That the Service is free of viruses or other harmful components

We do not warrant or guarantee the accuracy, completeness, or usefulness of any content posted by users or third parties. You acknowledge that any reliance on such content is at your own risk.

Your use of the Service is at your sole risk.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUMOSOFT INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, goodwill, or other intangible losses
  • Unauthorized access to or alteration of your transmissions or data
  • Interruption or cessation of the Service
  • Bugs, viruses, or other harmful code transmitted through the Service
  • Errors or omissions in any content or for any loss or damage incurred
  • Conduct of any third party on the Service
  • Disputes between community administrators and members
  • Transactions conducted through the marketplace or events

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Sumosoft Inc. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with:

  • Your violation of these Terms
  • Your User Content
  • Your use of the Service
  • Your violation of any third-party rights
  • Your violation of any applicable laws or regulations
  • Any disputes between you and other users or community members
  • Any transactions conducted through your community

13. Community Administrators

If you create or administer a community on the Service, you are responsible for:

  • Ensuring your community complies with these Terms and applicable laws
  • Moderating content and user behavior within your community
  • Establishing and enforcing community guidelines
  • Respecting the privacy of your community members
  • Handling disputes between community members
  • Accurately representing your community and its offerings

We are not responsible for the actions of community administrators or the content within individual communities. Users join communities at their own risk.

14. Marketplace Terms

The marketplace feature allows users to list and sell goods and services. When using the marketplace:

  • Sellers are responsible for the accuracy of listings, fulfillment of orders, and compliance with applicable laws
  • Buyers purchase at their own risk and should conduct due diligence before making purchases
  • We are not a party to transactions between buyers and sellers
  • We do not guarantee the quality, safety, or legality of items listed
  • Disputes between buyers and sellers must be resolved between those parties

We may remove listings or suspend marketplace access for violations of these Terms.

15. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete your account and User Content
  • Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

17. Dispute Resolution

17.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at [email protected]. We will try to resolve the dispute informally by contacting you via email.

17.2 Binding Arbitration

If we cannot resolve the dispute informally, you and we agree to resolve any claims relating to these Terms or the Service through final and binding arbitration, except as set forth below. The arbitration will be conducted under the rules of the American Arbitration Association.

17.3 Class Action Waiver

YOU AND SUMOSOFT INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

18. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and us regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

20. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
